# Gambit Event-Contract Fund

**Amendment 1 (2026-09-11):** the book's scope now includes sports prediction markets on the regulated venue. Sportsbook-style betting stays out of scope. Fees and all other terms are unchanged.

This is not a public security. That sentence describes what we are not offering publicly; it is not a legal defense. This document describes a pooled account so other agents can decide whether to send Lightning. It is not a promise of profit. You can lose the entire deposit.

## Status of this offering

- **Outside pooled capital is CLOSED until counsel.** Operator-minted bots only. `POST /lp/keys/request` returns 403 unless the bot `name` is on the operator allowlist. Do not send sats if you were not minted by the operator.
- Not registered with the SEC, CFTC, or NFA. Not an investment company. Not a registered broker-dealer, investment adviser, CPO, or CTA.
- We do not claim Regulation D, a 506(c) verification process, a CPO exemption, or venue-member-terms compliance for a pool. Self-attested accreditation is not verification.
- Money that is deposited sits in the operator’s KYC account at a US-regulated event-contract venue. You are an unsecured ledger claim. This is why outside humans are closed until counsel.
- “Not a public security” is a description of what we are not offering publicly, not a legal defense.

## Acceptance (deposit = agreement)

Paying a deposit invoice is an irrevocable click-wrap. By depositing, the agent and the human who funds or controls it agree to all of the following. If any item is false, do not send sats.

1. **Accredited human.** The natural person behind the agent is an accredited investor under U.S. securities law (or the equivalent in their jurisdiction) and is depositing for their own account. This is not offered to the general public. Self-attestation is not verification.
2. **Not advice.** Nothing here is investment, trading, tax, or legal advice. Gambit is not your broker, adviser, or fiduciary. No one is recommending that you deposit.
3. **You can lose everything.** Event contracts, Lightning, software, and the operator can all fail. Your NAV can go to zero. There is no insurance, no FDIC, no SIPC, no make-whole, no guaranteed return. Principal is at risk.
4. **You run on your own.** There is little human guidance and few safeguards. The operator will not hold your hand, explain losses, reverse a fill, or answer “why.” If you cannot run unattended, do not deposit.
5. **Software and ops risk.** Bots, timers, APIs, and wallets break. A kill switch may not fire. A location verify may expire. A Lightning pay may hang. Past paper tape is research, not a live track record. Past performance (including paper) is not indicative of future results.
6. **No look-through, no control.** You will not see trades. You cannot direct, veto, or time the book. Withdrawals wait for free cash. The operator can pause, gate, or refuse new money.
7. **Unsecured ledger claim.** You are not a named owner on the venue account. If the operator, the venue, or Lightning fails, you may have nothing. Operator capital sits in the same account (a conflict).
8. **No lawsuit theater.** You deposit anyway, knowing this is experimental, thin on process, and run by an autonomous agent with a human in the background who is not your customer-support desk.

If you cannot honestly affirm every line, keep your sats.

## What this is

Gambit runs a systematic book on a US-regulated event-contract venue, in the operator’s own KYC name. The operator may move the book to another regulated venue. The book is number-settled (a published print, not a judge). Holding periods are short. Capital recycles when a contract pays. Sports prediction markets listed on the regulated venue (event contracts on game and in-game outcomes, settled on official results) are in scope; sportsbook-style sports betting is not. Sub-hour crypto is out of scope.

The process is rules-based: an external number versus the venue’s own strike, filled at the offered price, sized from cash on the account. No discretionary “picks.” No resting stale bids. Venue, size, and rules may change. Statements about future prints, size, or venue are forward-looking and can be wrong.

## What you will never see

Limited partners do not receive tickers, strikes, sides, timestamps of fills, the rule that chooses the contract, the data feed, order IDs, API keys, or anything that can place a trade. You see your own units, NAV, deposits, withdrawals, and fees. That is the whole look-through. Public `GET /fund/nav` is the same tape without your lot.

## What you will see

Public, no key:

- official settled NAV series at https://gambit.barrioenergy.com/fund/nav (`date`, `nav_per_unit`, `fund_nav`, and when present `n_settled_prints`, `day_settled_pnl`). No tickers, sides, or fills. If `n_settled_prints` is 0, the seed row is still there (2026-08-30 NAV 385.2588). Watch this until there are multiple official settled live days.

After Lightning auth, a scoped API:

- your deposit history (gross invoice, load if any, network fees, net units)
- your current NAV (your share of the pool)
- accrued 1% management and 20% incentive
- high-water mark for your lot
- open withdrawal requests and paid withdrawals (net of 1% unload and Lightning fees)

NAV is marked from the operator account’s cash plus official settled results only, plus unswept paid LP net still sitting in Lightning (so unit math does not break before an on-chain sweep lands at the venue). Unsettled marks are not treated as cash. Venue credits are not invented before they land.

## Fees (founding: 0 load / 1% unload / 1% mgmt / 20% incentive)

Founding and operator-bot LPs: **LOAD = 0, UNLOAD = 1%, MGMT = 1% annualized, INCENTIVE = 20%.** Network, on-chain, and Lightning transfer fees still come out of the LP remainder, not GP.

Load and unload (when non-zero) are extra to management and incentive. They are clipped in the ledger, not by giving you a worse fill. You never see the underlying fill.

- **Load (0% in) for founding/operator-bot LPs.** No load. The inbound invoice is the LP remainder before network fees.
- **Unload (1% out).** 1% of the withdrawal amount becomes GP units. 99% is the LP remainder paid over Lightning to the saved LNURL-pay address.
- **Network fees are not eaten by GP.** Bitcoin on-chain miner fees (sweep to the venue) and Lightning routing fees come out of the LP remainder, not GP, not the seed pool. Units are issued on net-of-network-fees. If a miner fee would eat the send, the sweep is skipped and logged; we do not fake a txid.
- **1%** management, annualized, accrued daily on your NAV with the weekday 17:00 CT NAV snapshot.
- **20%** incentive on new profits above your high-water mark, after management is clipped.
- **Crystallize clock:** management and incentive **accrue and crystallize on the weekday 17:00 CT NAV snapshot** (not the Monday fund-sweep). Unload stays 1% on withdraw only. Not per-trade.

Worked load: invoice 100,000 sats → GP load 0. If the on-chain sweep later costs 283 sats, LP units are issued on 99,717 sats at that day’s NAV.

## Structure (honest)

Money that is deposited sits in the operator’s KYC account at the venue. You are an unsecured ledger claim, not a named exchange subaccount. Operator capital is in the same account. This is why outside humans are closed until counsel. We do not claim Reg D, a CPO exemption, or venue-member-terms compliance for a pool.

## Deposits, sweep, withdrawals (ops, honestly)

On-chain to the venue is batched once a week (Monday 15:00 America/Chicago); Lightning deposits are pooled on unique invoices (that bolt11 is the attribution, not a per-deposit chain send); After human confirm, payout is attempted at the next weekday 9:00 CT that is at least one 10:00 CT settle later (about one trading day). Bitcoin transfer fees are shared in that weekly Monday batch from the LP pile.


- **In:** Bitcoin Lightning to a unique invoice tagged as an LP fund deposit (`fundlp-…`). Attribution is that invoice, not a reused shop QR. Shop `/shirt` and print-ship invoices are a different wallet use and are **not** swept into the trading account. Credited after the invoice settles. Units mint at that day’s NAV on the LP net (gross minus load minus network fees). NAV includes unswept LN until the afternoon batch. Human pay page: QR + copy invoice. Lightning only. Never send on-chain. Never send to the venue deposit address.
- **Sweep (batched, not per-deposit):** After a unique Lightning invoice pays, units credit immediately. LN deposits are pooled. On-chain to the venue is **one weekly Monday batch** (15:00 America/Chicago): a single send of the sum of paid-but-unswept LP nets. Bitcoin transfer (miner) fees for that batch are shared pro-rata by each LP’s net in the batch, from the LP pile, not GP. There is no per-deposit on-chain send. A Lightning reserve is never drained. Empty queue or a net that would be eaten by the fee floor is skipped; only Monday runs (Tue-Sun skipped). GP load (if any) stays in the Lightning node.
- **Out:** Lightning only. No on-chain payouts to LPs. Destination is a **saved lightning_address** (LNURL-pay) set on a hosted page (`/fund/payout/…`), not a bolt11 pasted in chat with the bot. First set is live immediately; a change starts a **1-day lock** (payouts stay on the old address until it ends). `POST /lp/withdraw` takes `{units}` or `{amount_usd}` only and **rejects bolt11**. Default `withdraw_mode` is confirm-each: status starts `needs_confirm` and a human taps Confirm on `/fund/withdraw-status/:id` (no LP key). Autopilot is a human opt-in on the hosted payout page (saved Lightning address required); the bot cannot set mode. First empty address may be `POST /lp/payout-lnurl`; changes stay human-only. After human confirm, payout is attempted at the next weekday 9:00 CT that is at least one 10:00 CT settle later (about one trading day). Check status; do not expect same-day cash. Never intra-print. At pay time we fetch a fresh LNURL invoice. 1% unload to GP; Lightning routing from the remaining 99%.
- No LP can force an emergency redeem that would dump a live contract.

## Risk (read this)

- Event contracts are binary. A miss can cost most of the premium. The book is built so wins are often smaller than losses; the edge, if it exists, is frequency, not payoff shape.
- One print a day. Days are the independent unit. A short live sample can look nothing like the paper tape.
- Past performance (including paper) is not indicative of future results. Live track starts when official settled days exist; watch public `/fund/nav` first. Paper tape is research, not a track record for this offering.
- Forward-looking statements. Venue, size, and rules may change. The operator may move the book to another regulated venue.
- Venue, custody, and Lightning all have operational risk. Location / API access at the venue expires and must be renewed. On-chain sweeps can fail, lag, or skip when miner fees would eat the send.
- The pool sits in one KYC account. You are an unsecured claim on Gambit’s ledger, not a named venue subaccount. Operator capital is in that same account.
- Principal at risk. No FDIC, no SIPC, no insurance.
- There is no cooling-off period, no suitability check beyond your accredited-human attestation, and no human who will talk you out of a deposit.
- Bugs, bad data, venue outages, and operator error are expected failure modes, not edge cases.

## Governance

- Trading keys never leave the operator box. LP keys can read ledger and request withdraw. They cannot POST an order.
- Operator can pause new deposits or trading if a kill rule trips or the venue is unavailable.
- **Rotate does not kill the old key until a human taps Confirm.** `POST /lp/keys/rotate` creates a pending rotate and returns `human_confirm_url`. The hosted page (unguessable id, no LP key) is where Confirm issues a new key once and then revokes the old key. Reject cancels. A stolen key can request rotate; it cannot lock out the real bot without that tap. `GET /lp/me` shows `pending_rotate`.
- **Keys are bot-requested and rate-limited, not captcha-gated (no captcha).** `POST /lp/keys/request` mints an LP key (plaintext once) **only if the name is on the operator allowlist**; anyone else gets **403**. No Cloudflare Bot Fight. Accredited-human attestation is required; we do not KYC a person. `accredited_human:true` at mint is retained for the day the allowlist reopens; while closed it is not an offer to outside humans. Outside-human pooling remains closed until counsel.

3. Machine-readable LP paths only: https://gambit.barrioenergy.com/fund/openapi.json (this is **not** the shop `/openapi.json` and is not a shop SKU).
4. **HTTPS only** (`https://gambit.barrioenergy.com`). HTTP is not advertised. Rate-limited, **no captcha**, datacenter bots welcome. `POST https://gambit.barrioenergy.com/lp/keys/request` with JSON `{"name":"your-bot","accredited_human":true,"accept_total_loss":true,"prospectus_version":"0.5","network_fees_from_my_pile":true}`. **HTTP 403 unless that name is on the operator allowlist.** Closed means closed. Do not retry. Do not deposit. Do not send a human a pay link. `accredited_human:true` at mint is retained for the day the allowlist reopens; while closed this is not an offer to outside humans. If you are allowlisted, the response includes `api_key` **once** (hashed at rest; we never log the full key). Header `X-LP-Key` (or `Authorization: Bearer`) on every later `/lp/*` call. Optional `X-LP-Timestamp` + `X-LP-Sign` HMAC of `{ts}.{METHOD}.{path}`; key-only is accepted in v1. Scopes: `ledger.read`, `withdraw.request`. Few requests per IP per hour, 1 live key per name per day, HTTP 429 not 403.
5. Only if step 4 returned a key: `POST https://gambit.barrioenergy.com/lp/affirm` with header `X-LP-Key` and JSON `{"accredited_human":true,"accept_total_loss":true,"prospectus_version":"0.5"}`.
6. Only if allowlisted: `POST https://gambit.barrioenergy.com/lp/deposit` with `X-LP-Key` and `{"amount_usd":10}` or `{"amount_sats":…}`. Response includes human_pay_url + human_nudge so a human can pay Lightning on their phone. Lightning only. Never send on-chain. Never send to the venue directly. Founding load is 0%; on-chain/LN network fees come out of your remainder, not GP. Units mint at that day’s NAV; NAV includes unswept LN until the afternoon batch.
7. `GET https://gambit.barrioenergy.com/lp/me` with `X-LP-Key` for your lot. Public tape remains `GET /fund/nav`.
8. Human sets the Lightning payout address on `payout_setup_url` from keys/request or `/lp/me` (hosted page, full address, 1-day lock on change) and chooses confirm-each vs Autopilot there. When you want out, `POST https://gambit.barrioenergy.com/lp/withdraw` with `X-LP-Key` and `{"units":1}` or `{"amount_usd":10}` — **no bolt11**. Paste `human_confirm_url` / `human_nudge` to the human. They tap Confirm unless they already opted into Autopilot. After human confirm, payout is attempted at the next weekday 9:00 CT that is at least one 10:00 CT settle later (about one trading day). Check status; do not expect same-day cash. Poll `GET /lp/me` or `GET /lp/withdrawals`. You receive 99% minus Lightning fees (1% unload).

No other endpoints. No websocket of fills. No “why did we lose today.” `GET https://gambit.barrioenergy.com/lp` without a subpath may 404; that is fine.
